Company Formation in Türkiye: LLC, JSC and the Setup Steps: minimal line art of a briefcase in crimson, turquoise and sand gold
5 min left

Türkiye lets foreign investors own 100% of a company, with the same rights as Turkish shareholders. Setting one up takes days rather than months once your documents are ready.

Company types

TypeBest forNotes
Limited company (Ltd. Şti.)Most small and medium businessesOne or more shareholders, simpler management
Joint stock company (A.Ş.)Larger businesses, outside investors, future listingHigher minimum capital, more formal

Minimum capital rules were raised in 2024. Check the current amounts with your accountant before you register.

What you'll need

  • Passports of shareholders and directors (translated and notarised)
  • Turkish tax numbers for foreign shareholders
  • Articles of association
  • A registered office address in Türkiye
  • Documents of any corporate shareholder, apostilled or legalised and translated

The steps

  1. Get tax numbers for every foreign shareholder.
  2. Prepare and sign the articles of association, then submit through the MERSIS online system.
  3. Deposit the capital where required, in a Turkish bank.
  4. Register with the trade registry and the chamber of commerce.
  5. Open the tax file and set up an accountant. A licensed accountant is required for ongoing filings.
  6. Open the company bank account and register employees with social security if you hire.

After setup

  • Monthly VAT and withholding tax returns, plus annual corporate tax
  • Books kept by a licensed accountant
  • Work permits for foreign staff, including foreign founders who will work in the company

Why it's worth planning

A Turkish company can be a base for trade between Europe, the Middle East and Central Asia, and it can support residence for founders. Getting the structure right at the start saves tax and paperwork later.
